Your Company’s Legal Address Isn’t a Formality. It’s Where Every Notice Finds You First.

We provide your Cyprus-registered office, appoint a qualified company secretary, and keep your statutory registers current, so nothing official ever reaches an empty mailbox, or worse, doesn’t reach you at all.

What an Unmanaged Registered Office Actually Costs

Missed Address Change Notice

Default Fine

On the company and its officers personally, for missing the 14-day window to notify the Registrar (Companies Law, Cap. 113).

Late HE32 Annual Return

Up to €150

The capped penalty, since the 2024 reform, applies every year you’re late, not once.

Struck Off the Register

Thousands in Fees

Legal and restoration costs, plus frozen bank accounts while the strike-off stands.

A registered office and secretary that actually do their job cost a fraction of any of this.

THE REAL PROBLEM

Why This Goes Wrong for So Many Cyprus Companies

The “registered office” is just a mailbox.

Under Companies Law, Cap. 113, Section 102, every company must maintain a registered office in Cyprus from the date of incorporation. A mailbox nobody checks technically satisfies the address requirement and fails everything it’s actually for. Court papers, Registrar notices, and tax correspondence sit unopened while deadlines pass.

Nobody owns the secretarial function.

Every company must appoint a secretary, and a sole director can act as secretary only if they’re the company’s sole shareholder too. When the secretary is a name on a form rather than someone maintaining the statutory registers, minute books, and share certificates, the company has no record of its own decisions when an auditor, bank, or investor asks for one.

The 14-day window gets missed.

Any change to your registered office must be notified to the Registrar within 14 days using Form HE2. Miss it, and a default fine applies to the company, and personally, to its officers. Most companies don’t realize until the fine notice arrives.

Nobody’s watching the UBO Register.

Since 2021, Cyprus companies must keep beneficial ownership details up to date, with an annual confirmation window that the Registrar opens each year. Miss it, and fines apply automatically. No warning was issued first.

01

Where does your company legally live?

A real, physical Cyprus address that can actually receive and act on what arrives.

02

Who keeps the official record straight?

Someone is maintaining your statutory registers, minute books, and share certificates, so your history is provable.

03

Who watches the deadlines?

HE32 returns, HE2 changes, and UBO confirmations all run on Windows. Someone has to be watching the calendar.

How We Run Your Registered Office & Secretarial Function

Provide Your Registered Address

A genuine, staffed Cyprus address that receives, logs, and forwards every official notice, not a shared mailbox.

Appoint Your Company Secretary

A qualified secretary who maintains your statutory registers, minute books, and share certificates as an ongoing practice.

File Your HE2 and HE4 Changes

Every change to your officers, secretary, or address filed inside the statutory window.

Maintain Your Statutory Registers

Register of members, directors, secretaries, and charges kept current and ready for inspection.

Manage Your UBO Confirmations

We track the Registrar’s annual confirmation window and file your beneficial ownership updates before it closes.

Forward What Actually Matters

Court papers, Registrar notices, and tax correspondence reach you the same day, flagged by urgency.

Why Businesses Trust Naklaw With Their Registered Office

20+ Years Administering Cyprus Records

We’ve maintained statutory registers since 2003, through every amendment to the Cap. 113, including the 2024 levy abolition and the UBO Register rollout.

We Catch What Gets Missed Elsewhere

We’ve stepped in for companies whose previous provider let their address lapse or missed a UBO filing window, and rebuilt the record.

Legal 500 Member

Recognized by Legal 500, one of the world’s most rigorous legal directories, for corporate and commercial work in Cyprus.

We Tell You What’s Actually at Risk

We don’t dress up a mailbox as a compliance service. If your setup has gaps, we tell you exactly what they expose you to.

NOT SURE WHICH SERVICE YOU NEED?

What’s Your Situation?

New Company

“I’ve just incorporated and need a real office and secretary in place.”

We set both up as part of the incorporation, so day one is compliant, not day ninety.

CTA → Set Up Registered Office & Secretary
Switching Providers

“My provider is unresponsive, and I think we’ve missed something.”

We audit your statutory registers and filings first, then take over once we know exactly where you stand.

CTA → Request a Compliance Audit

Missed a Deadline

“We just got a fine notice and don’t know what else we’ve missed.”

We resolve the immediate fine and set up ongoing monitoring to prevent it from happening again.

CTA → Fix a Missed Filing
Due Diligence

“An investor or bank asked for our statutory registers, and we don’t have them ready.”

We reconstruct and organize your records so they’re ready to hand over, not assembled under pressure.

CTA → Get Records Investor-Ready

FAQS

Registered Office & Secretarial Services, Frequently Asked Questions

Do I legally need a registered office in Cyprus?

Yes, under Companies Law, Cap. 113, Section 102, from the date of incorporation, and it must be a real address, not a mailing point.

Can I use my own office as the registered address?

Yes, if someone is actually there to act on official correspondence. Most non-resident owners use a professional registered office instead.

Do I really need a separate company secretary?

Yes, every company must appoint one. A sole director can also act as secretary only if they’re the sole shareholder.

What happens if I miss the 14-day address-change window?

A default fine applies to the company and its officers personally. There’s no grace period built into the requirement.

What’s the real risk of missing a UBO confirmation?

Fines apply automatically once the window closes, with no warning issued beforehand.

Can you take over mid-year from our current provider?

Yes. We audit your filing status first, resolve any gaps and then transition without a coverage gap.

How quickly can this be set up for a new incorporation?

Same day as your incorporation filing, built directly into your HE2 and HE3 forms.

Do you also handle changes to directors and shareholders?

Yes, all HE4 notifications for officer and shareholder changes are filed through the same service.

Your Company’s Address Should Work For You, Not Against You

A registered office that just exists on paper is a liability waiting for a deadline to expose it. One that’s actually managed is why your fines stay at zero, and your statutory registers stay audit-ready.
